Qualcomm agreed to buy Huawei U.S. patents in AI, compute, and networking as part of the companies' first licensing deal to cover 5G.
Huawei and Qualcomm announced the multiyear agreement earlier this month. The companies' joint release describes two parts: cross-licenses to both portfolios across 5G, compute, AI, and networking, and Qualcomm's purchase of certain Huawei U.S. patents in compute, AI, networking, and other fields. Reuters reports the agreement is the first between the companies to cover 5G. Neither company disclosed financial terms. The purchase closes after regulatory approval. Bloomberg reports the deal is subject to Hart-Scott-Rodino premerger review, a filing requirement triggered in 2026 only by transactions above $133.9 million.
Export Controls and Portfolio Scope
Bloomberg, citing a Huawei spokesperson, reported that the cross-license covers LogicFolding, the stacked-logic architecture in Huawei's new Kirin 9050 Pro chip. Bloomberg describes LogicFolding as Huawei's approach to making up for China's lack of access to extreme ultraviolet lithography machines. Huawei has been on the Commerce Department's Entity List since 2019, and U.S. exports of controlled items to the company require a license. A license to LogicFolding would carry export-control and political stakes absent from a license to wireless patents. In an October 6 statement, Qualcomm said assertions linking the agreement to LogicFold "are not accurate," called reports of Qualcomm as the net payer incorrect, and described the purchased patents as non-cellular.
Huawei expects the total value of its licensing agreements to exceed $6.9 billion once the deal completes. The $6.9 billion is cumulative across Huawei's licensing program. The value of the Qualcomm deal itself is undisclosed.
Insights on the Deal
- License vs purchase rights. The cross-license lets each company practice the other's patents. The purchase makes Qualcomm the owner of the acquired U.S. patents, with the right to enforce them. Under 35 U.S.C. ยง 261, a patent assignment must be in writing, and recording the assignment at the USPTO within three months, or before a later sale, protects the buyer against a later purchaser without notice.
- FRAND commitments for 5G. Both companies describe the agreement as consistent with fair, reasonable, and non-discriminatory licensing, the commitment attached to standard-essential patents.
- Huawei is a leading AI patent filer. Huawei ranked second worldwide in 2025 AI patent applications, with 1,822, in IFI CLAIMS' Inventing AI report.
The patent list remains undisclosed. Assignments recorded at the USPTO are public, so recording after closing would show which Huawei AI and compute assets the U.S. chipmaker chose to own outright.
